These Terms of Service (“Terms”) govern your access to and use of the EvaLoops platform (“Service”), operated by the EvaLoops founding team (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

EvaLoops is an AI evaluation platform that stress-tests AI chatbots and agents using synthetic personas. The Service generates simulated users that interact with your AI agent, then analyzes the conversations to identify failures, edge cases, and areas for improvement.

2. Eligibility and Accounts

  • You must be at least 18 years old to use the Service.
  • You are responsible for maintaining the security of your account credentials.
  • You must provide accurate and complete information when creating an account.
  • One person or entity may not maintain more than one free account.
  • If you create an organization, you are responsible for the actions of all members you invite.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or to violate any applicable laws
  • Evaluate agents that generate illegal, harmful, or abusive content
  • Attempt to reverse-engineer, decompile, or extract source code from the Service
  • Circumvent usage limits, rate limits, or access controls
  • Use the Service to build a competing product
  • Share your account credentials or API keys with unauthorized parties
  • Upload malicious files, malware, or content that infringes third-party rights
  • Interfere with or disrupt the integrity or performance of the Service

4. Your Data

Ownership

You own your data. All content you provide — including agent configurations, knowledge files, personas, tasks, and conversation logs — remains your property. We do not claim ownership of your data.

License to Us

You grant us a worldwide, non-exclusive, royalty-free license to use, process, and store your data solely to provide and maintain the Service. This license terminates when you delete your data or close your account.

No Model Training

We will not use your data to train, improve, or develop any AI or machine learning models without your prior explicit written consent.

Aggregated Data

We may generate anonymized, aggregated statistics about platform usage (e.g., average evaluation times, common failure patterns across all users). This data cannot identify you or your organization and may be used to improve the Service.

5. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by EvaLoops and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand assets without prior written consent.

6. Third-Party Services

The Service integrates with third-party AI providers (such as OpenAI and Anthropic) to perform evaluations. We are not responsible for the availability, accuracy, or conduct of these third-party services. Your use of the Service may be subject to additional terms from these providers.

7. Fees and Payment

The Service currently offers a free tier. If we introduce paid plans, we will notify you in advance. Paid plans will be billed on a subscription basis with defined usage limits. Details will be provided before any charges are applied.

8. Service Availability

We strive to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make commercially reasonable efforts to notify you of material changes.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not warrant that the Service will be error-free, secure, or meet your specific requirements. AI-generated evaluations are informational and should not be the sole basis for business decisions.

10. Limitation of Liability

To the maximum extent permitted by law, EvaLoops and its founders shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service.

Our total aggregate liability for all claims related to the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $100.

11. Indemnification

You agree to indemnify and hold harmless EvaLoops and its founders from any claims, damages, or expenses arising from: (a) your use of the Service, (b) your violation of these Terms, (c) the content or behavior of the AI agents you evaluate through the Service, or (d) your violation of any third-party rights.

12. Termination

  • By you: You may close your account at any time by contacting us.
  • By us: We may suspend or terminate your access if you violate these Terms, with or without notice depending on severity.
  • Upon termination, your right to use the Service ceases immediately. We will delete your data within 30 days unless retention is required by law.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Peru. Any disputes arising from these Terms will be resolved in the courts of Lima, Peru, unless otherwise agreed by both parties.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page and updating the “Last updated” date. Continued use of the Service after changes constitutes acceptance.
